HOSTING, SERVER AND MANAGED SERVICE TERMS
These unified terms govern website creation, hosting, server provision, technical care, support and optional managed or AI-assisted services by V-Labs IT Solutions & Development, trading as VLABS or Vendetta Labs. The complete text applies as one agreement; individual clauses cannot be accepted separately.
1. Provider, customer and scope
The provider is V-Labs IT Solutions & Development, Kalamata, Greece, trading as VLABS or Vendetta Labs. These terms cover all ordered hosting, server, website, maintenance, support and managed services. The customer is the person or organisation named in the order. Individual terms confirmed in the VLABS ticket system prevail for that order.
2. Contract documents and service scope
Scope, price, billing period, storage, compute, backups, support hours, domain and email services are determined only by the offer, service description, ticket and order confirmation. Services not expressly listed are not owed. No commercial result, search ranking, uninterrupted availability or revenue increase is guaranteed.
3. Infrastructure and upstream providers
VLABS may use suitable data centres, registrars, network, security, payment and software providers. This creates no separate customer contract with an upstream provider. The customer must follow upstream technical and legal limits reasonably communicated by VLABS. A provider change must not reduce the agreed core service or applicable data-protection duties.
4. Accounts, access and cooperation
The customer provides accurate and current contact, billing and administration details, keeps credentials secret, uses offered multi-factor authentication and reports security incidents without delay. Approvals, content, DNS changes and required cooperation must be supplied on time. Actions through authorised customer accounts are attributed to the customer unless caused by VLABS breaching its own duties.
5. Content, media rights and legality
The customer is responsible for its content, offers, prices, users, data processing and legal notice, consumer, tax and sector obligations. It may provide only content, images, video, logos, fonts, links and software for which it has necessary rights and legal bases and, to the extent permitted by law, indemnifies VLABS against substantiated third-party claims caused by its materials or instructions. A technical URL check is not a licence or legal review. VLABS does not generally pre-screen all customer content and does not replace legal, tax or sector advice.
6. Prohibited use
Prohibited use includes illegal content; infringement of copyright, trade mark, personality or privacy rights; malware, phishing, fraud, spam, forged senders, botnets, open proxies, unauthorised access or vulnerability testing, attacks, circumvention of limits, crypto mining, public file repositories, and use that endangers systems, networks, third parties or VLABS. Security testing is permitted only on the customer's own systems after prior written coordination.
7. Fair use and resources
Shared CPU, RAM, storage, I/O, mail and network resources must be used reasonably. Continuous heavy load, excessive files or caches, very large databases, permanent crawls, mass uploads, file sharing and unforeseen traffic peaks may impair others. VLABS normally notifies the customer first and may offer optimisation, a plan change or isolated resources. Temporary necessary protection measures are permitted for imminent risk.
8. Notices and content decisions
Notices about allegedly illegal content may be submitted electronically through published VLABS contact channels and must identify the content, exact location, reasons and reachable contact details where legally permitted. VLABS acknowledges actionable notices, processes them promptly, objectively and without arbitrariness, and informs affected parties of the decision, reasons and available redress unless a legal exception applies.
9. Restriction, removal and emergencies
For specific illegality, contractual breach, security risk or authority order, VLABS may proportionately restrict, isolate, suspend or remove affected content or service. Where possible, VLABS gives prior warning, reasons and an opportunity to remedy. Immediate action is permitted for imminent risk. Unaffected services remain available where possible; decisions may be challenged through ticket or contact channels.
10. Domains, email and third-party software
Domains, certificates, mailboxes and third-party software are included only when expressly listed. Domain price, availability and term depend on registry and registrar. The customer confirms registration data on time. VLABS is not responsible for domain loss caused by late customer information, approval or payment.
11. Data protection and processing
Each party fulfils its own data-protection duties. If VLABS processes personal data on the customer's behalf, production processing may begin only after an Article 28 GDPR agreement defines subject, duration, data types, data subjects, instructions, security measures and subprocessors. The customer must not upload third-party personal data before then. VLABS processes only on documented instructions and gives notice of material subprocessor changes under the agreed procedure.
12. Security, backups and restoration
VLABS protects managed infrastructure with appropriate technical and organisational measures. The customer remains responsible for its own applications, accounts, devices, keys and out-of-scope components. Backup frequency, retention and restore apply only when specifically agreed. Backups are not archives and do not guarantee against every loss. The customer maintains independent copies of critical data outside the system and backs up before its own changes.
13. Availability, maintenance and support
Without a separate SLA, service is provided on a professional best-effort basis. Maintenance, security action, power, network, registrar or upstream failures, attacks and force majeure may interrupt service. Planned maintenance is announced where practical. Included support follows the order. Additional work is charged only after prior price or effort confirmation, except for an immediate limited measure needed to stop an active attack or substantial harm.
14. Prices, payment and late payment
Prices, taxes, setup fees, recurring charges and billing intervals are displayed before ordering or confirmed in the offer. Setup and initial term are generally due before work starts. After notice of late payment, VLABS may withhold or proportionately suspend service. Mandatory consumer rights and statutory payment periods remain unaffected.
15. Termination, export and deletion
The order defines term and notice; unless it states otherwise, ongoing hosting may be terminated on 30 days notice at the end of the paid period. VLABS provides the agreed export after termination. Data is deleted only after a documented export period, final notice and subject to legal retention duties. Migration format, scope, timing and costs must be agreed in advance.
16. Consumer withdrawal and service start
Consumers generally have a statutory withdrawal right for distance contracts. VLABS starts before the withdrawal period expires only after a separate express request and legally required acknowledgement. A legally permitted proportionate amount may be due following withdrawal after early start; the right is lost only under statutory conditions after full performance. Without a separate request, service starts after the withdrawal period expires.
17. Rights, liability and force majeure
After full payment, the customer receives the usage rights to custom deliverables described in the order; VLABS retains rights in pre-existing tools, templates, libraries and know-how. Nothing limits mandatory liability, including intent, gross negligence, death or personal injury and mandatory consumer rights. Otherwise, to the extent permitted by law, VLABS is liable only for foreseeable direct loss typical of the contract.
18. Acceptance evidence, changes, law and complaints
Acceptance of the complete text is logged with order reference, version, timestamp, IP address, user agent and SHA-256 hash; the customer receives durable confirmation. Material changes apply only to new orders or after notice and required renewed consent. Greek law applies while preserving mandatory consumer protections at habitual residence. Complaints may use VLABS contact and ticket channels; jurisdiction is Kalamata only where permitted.
19. Schedule A - Data processing
Where VLABS is a processor, processing concerns operation and support for the contract term plus the agreed export and deletion period. Its nature and purpose are hosting, storage, transmission, backup, restoration, security and instructed support. Data subjects may include visitors, users, customers, prospects, staff and suppliers; data may include identity, contact, account, content, communication, contract, log, IP and usage data. The customer is controller, documents instructions and lawfulness and handles data-subject requests. VLABS maintains confidentiality and appropriate security, assists with rights, breaches and impact assessments, keeps required evidence and returns or deletes data after termination as instructed and required by law. Subprocessors receive equivalent contractual duties and are used under the agreed notice and objection procedure.
20. Schedule B - Minimum security measures
Minimum measures include role-based least-privilege access, strong authentication, protection of administrative credentials, transport encryption, secure configuration, risk-based updates, logging of security-relevant administrator actions, network and service isolation, malware and abuse protection, protected backups where ordered, recovery procedures, incident handling, periodic access review and confidentiality commitments. The order-specific schedule identifies systems, locations, retention, recovery objectives and approved subprocessors. Security details are not published where disclosure would weaken system protection.
